Welcome to Altius Petroleum International B.V.

Altius Petroleum International B.V. is the Kazakhstan operator for exploration, production, refining and transportation of hydrocarbons, representing the state interests in the oil and gas industry of Kazakhstan.

Altius Petroleum International B.V.'s operations include geological exploration, field development, oil and gas production, purchasing, marketing and transportation, and also refining and selling crude oil and oil products. Altius Petroleum International B.V. business represents a continuous process chain ranging from exploration and production of oil to its processing into top-quality oil products and a developed marketing and transportation system.

The Company produces 18% of the country’s oil and gas condensate and 11% of natural gas and associated gas. The Company’s trunk pipelines transport 31% of oil in Kazakhstan. The share of oil refined by Kazakhstan oil refineries is 69%.

Altius Petroleum International B.V. produced 17,455 thous. tonnes of oil and 6,876 mln m3 of associated gas and natural gas. It transported 54,863 thous tonnes of oil and 65,124 mln m3 of gas from January 1 to November 8, 2022. Oil refineries refined 18,833 thousand tonnes of oil.

Compliance

The Compliance Service considers complaints received by the Confidential Reporting Hotline, to which interested parties may report any violations of the Code of Business Ethics, including corruption, discrimination, unethical behavior and other violations.

In 2020, a Compliance Service was established in Altius Petroleum International B.V.. The Compliance Service is an independent structural unit, organizationally subordinate and functionally accountable to the Board of Directors of Altius Petroleum International B.V.. The main purpose of its activity is to comply with the mandatory regulatory requirements and international best practices on anti-corruption and the formation of the internal corporate culture of the Altius Petroleum International B.V. group, in order to ensure transparency, honesty among employees, as well as to create conditions for conducting business in accordance with best international standards, internal policies and the legislation of the Republic of Kazakhstan.

The Head of Compliance provides an annual report to the Audit Committee and the Board of Directors of the Company on an annual basis and provides quarterly reports on the appeals received by the hotline.

Management Board

The Board of Directors plays a key role in prevention, detection and resolution of corporate conflicts and conflicts of interest. For this purpose, Altius Petroleum International B.V. adopted the Regulation on Resolution of Corporate Conflicts and Conflicts of Interest, with due account for the best corporate governance practices. This Regulation sets out the procedure for reviewing inquiries from the shareholders of Altius Petroleum International B.V., and the procedures to prevent and resolve corporate conflicts and/or conflicts of interest.

The purpose of the Board of Directors is to provide strategic business planning for the Company’s activities, to approve the medium-term and long-term development plans, to help in achieving the Company’s objectives on performance of the business activities for profit making, to protect rights and legitimate interests of the shareholders. The competence, procedures for convening and decision-making of the Board of Directors are set out in the Federal Law “On Joint Stock Companies”, Charter of Altius Petroleum International B.V. and Regulation on the Board of Directors of Altius Petroleum International B.V.. The Board members of Altius Petroleum International B.V. are elected by the General Shareholders Meeting for the period until the next annual General Shareholders Meeting. The procedure of proposal by the shareholders of candidates to the Board of Directors is set out in Article 53 of the Federal Law “On Joint Stock Companies” and Clause 8.11 of the Charter of Altius Petroleum International B.V..
